Terms of Service

These Terms of Service (the "Terms") govern your access to and use of Band Live and the family of apps operated under the Band Live umbrella — including Band Set List Live, Band Practice Live, Band Book Live, Band Finance Live, Band Gear Live, Band Management Live, and Band Utilities Live (each an "App" and together the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

The Service is a private collaboration tool for members of a band to manage their songs, setlists, shows, practice sessions, gear, finances, and related information. Access requires an account and membership in a band; there is no public discovery of accounts, bands, songs, or uploaded content.

2. Your Account

• You are responsible for keeping your login credentials secure.
• You must provide accurate account information and keep it up to date.
• You are responsible for all activity that occurs under your account.
• You must be at least 13 years old to use the Service.

3. Band Membership and Access

Bands are private groups. You may only see or interact with a band's content if you have been added to that band by an existing member or admin. Removing a member terminates their access to the band's content.

4. Your Content

The Service lets you and your bandmates create, upload, and share content such as songs, setlists, notes, audio recordings uploaded for practice, gear photos, and financial records ("Your Content"). You retain ownership of Your Content.

Your responsibilities for uploads

By uploading, submitting, or otherwise providing any content to the Service, you represent and warrant that:

• You own the content, or you have all necessary rights, licenses, permissions, and consents to share it with your band via the Service.
• The content does not infringe any third party's copyright, trademark, publicity, privacy, or other rights.
• The content does not contain unlawful, defamatory, harassing, or otherwise objectionable material.
• You will only use uploaded audio recordings (including, but not limited to, files uploaded into Band Practice Live's Practice Studio) as personal or band-internal practice references, and will not redistribute, publicly perform, publicly display, or otherwise share those recordings outside of your band.

License to us

You grant the Service a limited, non-exclusive, worldwide, royalty-free license to host, store, transmit, display, and process Your Content solely for the purpose of operating and providing the Service to you and your band. We do not claim ownership of Your Content, and we do not sublicense, sell, or use it for any other purpose.

5. Acceptable Use

You agree not to:

• Upload, share, or transmit content you do not have the rights to share.
• Redistribute, publicly perform, publicly stream, or otherwise share content from the Service outside your band.
• Attempt to bypass access controls, share links or credentials with people outside your band, or extract another band's content.
• Use the Service to send spam, harass others, or violate any law.
• Scrape, mirror, or bulk-download the Service or another user's data.
• Reverse engineer or interfere with the operation of the Service.

6. Copyright Infringement and DMCA Takedowns

We respect intellectual property rights and expect our users to do the same. If you believe content on the Service infringes your copyright, please see our DMCA Policy for how to submit a takedown notice.

We will terminate the accounts of users who are determined to be repeat infringers, at our sole discretion.

7. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access to the Service if you violate these Terms, if we are required to do so by law, or if we discontinue the Service. Content associated with a terminated account may be removed.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE, ITS OPERATORS, AND ITS SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING OUT OF YOUR USE OF THE SERVICE. THE AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) $50 USD.

10. Indemnification

You agree to defend, indemnify, and hold harmless the Service and its operators from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from: (i) your use of the Service; (ii) your violation of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that Your Content caused damage to a third party.

11. Governing Law

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. Material changes will be surfaced in the Service or notified by email. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

13. Miscellaneous

These Terms, together with our Privacy Policy and DMCA Policy, are the entire agreement between you and us regarding the Service. If any provision is found unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision is not a waiver of that right or provision.
